Terms of Service

These Terms of Service ("Terms") are a contract between [LEGAL ENTITY], with a registered address at [ADDRESS] ("DeskLink", "we", "us") and the individual or organization accessing or using DeskLink software or services ("you"). By creating an account, starting a subscription, or using any DeskLink service, you accept these Terms.

1. The software and the service

1.1 DeskLink software. DeskLink consists of a desktop application (Windows/macOS) and server-side components (accounts API, signaling server, and optional TURN relay). You may run the software components on infrastructure you control ("self-hosted mode") under the license in the applicable LICENSE file of the repository. These Terms govern the services we operate (hosted accounts, billing, updates) — self-hosted instances run under your own responsibility and our support is limited to §7.

1.2 The Service. Where we operate hosted infrastructure (account creation and sign-in, device linking, plan management, billing, release downloads), we call that "the Service". The Service is provided as-is on commercially reasonable effort; we do not guarantee continuous availability, and we may suspend or discontinue features or the Service entirely with notice where legally permitted.

1.3 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) or use the Service under a guardian's/account holder's responsibility. You are responsible for keeping your credentials, device tokens, and assist PINs confidential.

2. Accounts and security

2.1 You are responsible for all activity under your account and for the devices you link to it. Notify us at [SUPPORT EMAIL] immediately of any unauthorized use.

2.2 DeskLink remote sessions are consent-based by design: the standard flow requires the target machine's user to see and accept a request (or, for unattended sessions, a PIN you are authorized to use). You agree to obtain the consent of every person whose device you remotely control and to comply with all applicable laws, including computer-misuse and surveillance laws, in every jurisdiction where your device or the target device is located. See the Acceptable Use Policy — it is incorporated here by reference.

2.3 We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, are used for fraud, or pose a security risk, and we may refuse service to anyone.

3. Subscriptions and billing

3.1 DeskLink offers a Free plan and paid plans (currently Pro at US$8/month and Team at US$25/month, per the plan limits published at sign-up). Prices exclude taxes; applicable taxes are added at checkout.

3.2 Subscriptions renew automatically at the end of each period until cancelled. You may cancel at any time; access to paid features continues until the end of the paid period. Except where required by law, fees are non-refundable for periods already provided.

3.3 Payments are processed by Stripe. By checking out you also accept Stripe's terms. We only receive the payment status we need to manage your plan; card data goes to Stripe, not to us.

3.4 If a payment fails, we may keep your account on the paid plan for a short grace period and then downgrade it to Free. We are not liable for work performed (or not performed) while an account is downgraded for non-payment.

3.5 Plan limits (session minutes, concurrent sessions, devices) are enforced by the software; we may adjust published plan features for new customers with notice.

4. Updates

Updates to the desktop app are delivered via our signed update endpoint. We sign every update; the client verifies the signature before installing. We reserve the right to discontinue support for older client versions after a reasonable period.

5. Intellectual property

5.1 DeskLink software is provided under its open-source LICENSE; nothing in these Terms restricts your rights under that license for self-hosted use.

5.2 Except as expressly licensed, we retain all rights in the Service, the DeskLink name, logos, and this website. You retain all rights in the content that flows through sessions you run (screens, files, chat) — see the Privacy Policy for how (and that we largely cannot see) that content.

6. Disclaimers and liability

6.1 THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that remote sessions will be available or reliable.

6.2 Remote-access software can be misused by third parties despite our safeguards. We are not liable for unauthorized access to, or control of, any device, and you use DeskLink at your own risk, including the risk that a PIN or credential is compromised. Keep PINs strong and unique, keep the app updated, and use unattended access only on devices you control.

6.3 To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and our total aggregate liability for all claims arising out of these Terms will not exceed the greater of (a) the amounts you paid us in the twelve months before the first event giving rise to liability, or (b) US$100.

6.4 Nothing in these Terms limits liability that cannot be limited by law (e.g. death or personal injury caused by negligence, fraud, or willful misconduct).

7. Support; termination

7.1 Support for the self-hosted software is community-based (issue tracker). Hosted-service support is best-effort at [SUPPORT EMAIL].

7.2 You may stop using DeskLink at any time; to delete your account and data, see the Privacy Policy. We may terminate these Terms or your access as described in §2.3. Sections §5, §6 and §8 survive termination.

8. General

These Terms are governed by the laws of [GOVERNING LAW], without regard to conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the courts of [GOVERNING LAW], except that either party may seek injunctive relief anywhere to protect its intellectual property. If any provision is held unenforceable, the remainder continues.
